James has considerable experience of advising directors, shareholders and unit holders in relation to contentious issues affecting companies and funds, including in relation to: –

• alleged breaches of directors’ duties/directors’ misfeasance;
• investment losses;
• applications relating to share registers;
• shareholders disputes;
• unfair prejudice proceedings.

Experience includes advising staff of a leading trust company in relation to the discharge of their duties as directors in the face of allegations of fraud by one shareholder and ongoing solvency issues. The approach taken by the directors was vindicated in proceedings before the English High Court of Justice.
